Alberta Certificates of Status are issued by the Alberta Corporate Registry for Alberta companies. Sometimes these are called Certificates of Good Standing or Certificates of Compliance and all companies registered in all jurisdictions in Canada and for that matter all countries can obtain these certificates when needed. In the Alberta jurisdiction they are called Certificates of Status. You may need to order an Alberta Certificate of Status when some other company or government office requests you to provide proof your Alberta company is in compliance with all of its filings and statute requirements. Being in good standing means that the company is still active and has not been dissolved for non-filing of federal and/or provincial tax returns or non-filing of the Alberta annual returns. The Alberta Corporate Registry sends out the Alberta annual return to the registered office address for the company each year and if the address is not correct then it is possible that the Alberta company could be in default of filing if it does not receive and file the return. The Certificate of Status for an Alberta company will provide the accurate current name of the Alberta company, the Alberta corporate number and its status. The government does not refund the money if the Certificate of Status cannot be issued. Basically it will issue a Certificate of Status that indicates the Alberta company is not in compliance and you will then need to file any outstanding Alberta annual returns and order a new Certificate of Status. Certificates of Status are costly so if you know in advance you have not made your filings you should at the least ensure all Alberta annual returns are filed before ordering your Certificate of Status. If you have some outstanding tax returns but have not been dissolved then you will still receive a favourable Certificate of Status as long as your annual returns have been filed with the Alberta Corporate Registry. Basically if too many years go by without filing your federal tax returns the Canada Revenue Agency requests the Alberta Corporate Registry to dissolve your company. A Certificate of Status is not an Alberta corporate search. If you are trying to determine information about an Alberta company you should have an Alberta corporate search done rather than ordering a Certificate of Status. The Ontario Nuans Name Search Report is created from the Nuans Name Search System which records all names for companies, business names and trade-marks across Canada. The system compares the name you wish to use against all other names on file across Canada. You are required to submit an Ontario Nuans Name Search with your articles of incorporation when you incorporate in Ontario. The Ontario Nuans report allows the government to determine if the name is actually available.. All conflicts will show on the report. If you are registering an Ontario business name or an Ontario trade name (also called an Ontario sole proprietorship) or an Ontario partnership you will not be required to obtain an Ontario Nuans Name Search Report. There is no protection for these names in Ontario. However it is advisable to at least do a preliminary name search regardless. A preliminary name search will give you an idea whether the name has been taken and what competition you have for the name. Prior to having the Ontario Nuans name search ordered for your proposed company name a preliminary name search must be performed. This is because it would not be a good idea to just order a name search without checking to see if the name is available because once the search is ordered there is a cost. If the Nuans report shows a conflict it will be too late and you will need to order another search after you pick a different name. Most reputable search houses will perform a preliminary name search for your proposed Ontario name as part of the service when you buy an Ontario Nuans name search from them. Beware of companies that charge an extra fee for this. It could become costly. The only time there should be a fee for a preliminary name search is in the case where you are registering an Ontario trade name, Ontario partnership or an Ontario sole proprietorship and an Ontario Nuans is not required but you still want to determine the availability of the name. There is no requirement for an Ontario Nuans name search report when you are registering an Ontario partnership, Ontario sole proprietorship or Ontario business name (Ontario trade name). However, a preliminary name search should always be done because the onus will be on you to ensure your name is different than other business names registered. A preliminary name search should be purchased in this case or you may be able to find a search house that will do the preliminary name search for free as part of the service when you purchase your registration from them. When incorporating an Ontario company you will need to have a name for your company that has a legal element (explained below) but this is not necessary for Ontario sole proprietorships, Ontario partnerships and Ontario business names. Below you will find information will explain how to pick the proper name for your company. The three elements you need to include in the proposed name for your Ontario corporation are (a) the distinctive part of the name, (b) the descriptive part of the name, and (c) the legal part of the name. If the name you decide to register is “Smith Carpentry Inc. , the distinctive element is the word “Smith”, which is distinctive because it is a person’s last name. Another example of a distinctive element in a name might be “Toronto” as in “Toronto Garden Supplies Ltd.” which is distinctive because it describes a location. “Twilight Dental Services Corp.” has the distinctive word “Twilight” in it to make it stand out from other dental service companies. The descriptive element describes the type of business. In “Smith Landscaping Inc.”, the descriptive element is “Landscaping” which describes the nature of business. In “Georgian Garden Supplies Ltd.” the descriptive element is “Garden Supplies” which describes the type of products this business sells. “Dental Services” is the descriptive element for “Starcross Dental Services Corp.”. The Legal Element is the word “Inc.” which is a mandatory ending which recognizes the name as the name of a company. In Canada you can have the following endings for your company name: “Inc.”, “Incorporated”, “Ltd.”, “Limited”, “Corp.”, “Corporation” and the French equivalents of “Ltee.” “Limitee”, “Inc.” (same in English and French) or “Incorporee”, The Legal Element distinguishes your name as a share corporation rather than a business name, sole proprietorship or non-share corporation.
